General Conditions for B2B Online Sales
1. Scope of Application
The following general conditions regulate the sale and purchase of products sold on the website - www.meranermuehle.it/business (hereinafter referred to as "Contracts"), arising between operators who hold a VAT number and the company MOLINO MERANO Srl soc. unipersonal (in German MERANER MÜHLE GmbH Einpersonengesellschaft), with head office in Zona Industriale 7, 39011 Lana (BZ), Italy, corporate capital € 335,699 i.v., with registration number in the Commercial Register of Bolzano, Tax code and VAT number IT00683450217 (hereinafter referred to as "Molino Merano").
2. Products
The sale concerns exclusively the products indicated in the various sections of the website www.meranermuehle.it/business. Products covered by each single contract are those established by the Parties in the offer, in the order and in the order confirmation, or, in any case, in the communications the Parties have put in place in order to reach the conclusion of the contract.
The products, their type and quality, as well as the agreed quantity, the manner and date of dispatch of the goods, the packaging and any other specific conditions negotiated by the Parties are indicated in the offer, the order and the order confirmation.
3. Sale prices
All sale prices of products offered on the electronic online catalogue, indicated in euros, are net of VAT.
The total costs for shipping and delivery of the products are specified in the offer made by Molino Merano.
The price of the products indicated on the website is final, except for technical errors. In the event that the price indicated, for reasons attributable to technical errors, is incorrect, the Parties undertake to renegotiate the price in accordance with fairness and good faith.
4. Availability of products
The buyer may purchase the products indicated within the scope of the type and/or quantity offered on the online shop.
5. Conclusion of the contract
The contract stipulated through the site is considered concluded when the buyer receives the order confirmation via e-mail.
6. Minimum amount and Terms of payment
The amount and the minimum purchase quantity cannot be lower than what is established on the online offer.
Payment must be made in the manner indicated on the site.
7. Methods of delivery
Molino Merano undertakes to deliver the products to the buyer by means of trusted couriers and/or forwarding agents. The delivery will take place within the necessary terms indicated on the website and in the order confirmation e-mail. The unloading of the truck at its destination is the responsibility of the buyer unless otherwise agreed. The pallets are returnable. If the pallets are not returned, they will be charged at the market price.
The goods shall be delivered to the address indicated by the buyer. Unless expressly stated and in the absence of an express agreement in this regard, the place of delivery shall be the buyer's registered office.
The risk of loss of the products is transferred to the buyer at the time of delivery of the goods.
If the buyer is absent when delivery is attempted, the buyer will be contacted to agree on the method of delivery. In this case, the risk of deterioration of the products is transferred to the buyer at the moment of non-delivery of the goods.
8. Force majeure
If the contracting Party is prevented from performing a contractual obligation due to an event of force majeure, it shall be released from that obligation for the entire duration of such impediment. The Parties must immediately notify each other of any such event relating to them and demonstrate the existence of such event upon request. Following the cessation of this event, the Party concerned shall endeavour to restore the provision of the benefits which have ceased to exist as soon as possible. If the interruption of the fulfilment of the contract due to force majeure prevents a Party from complying with its obligations for a period of more than one month, both parties shall reach an agreement on the further execution of the contract.
Without prejudice to all the effects of these general terms and conditions of sale, each contracting Party has the right to withdraw from the contract by notifying the other Party in writing if no agreement is reached on the further execution of the contract.
9. Warranty right
The buyer is responsible for checking the goods upon receipt and in the presence of the carrier, placing any detailed reservations for missing or visibly broken goods on the transport document (DDT). Molino Merano, in accordance with Art. 1698 of the Italian Civil Code, does not accept complaints for missing or visibly broken goods, unless a detailed reason for the reserve has been affixed on the transport document in the presence of the carrier. The affixing of the general wording "subject to control" without specific content does not constitute a detailed justification for the reservation on the DDT.
10. Confidentiality
The Parties undertake to maintain strict confidentiality on all information received in any manner whatsoever in connection with the contract and shall ensure that this undertaking is also observed by their administrators, employees and consultants to whom the information has been disclosed.
11. Applicable law
These general terms and conditions of sale are governed exclusively by Italian law, excluding the rules of private international law.
